Several possibilities include:

1) Virus scanner not liking recursive EXE calls that Steam tends to make (uninstall virus scanner and see)
2) Page file too small (go Control Panel->System->Advanced Panel->Performance Button, Advaced Panel->Virtual Memory Change Button, increase, but keep max and min size the same to avoid fragmentation)
3) Paging size corrupt/too small, in which case, regedit time:
Windows+Run->Regedit:
Find key:
HKEY_LOCAL_MACHINE\SYSTEM\CurrentControlSet\Control\Session Manager\Memory Management
Double click on "PagedPoolSize". Hexadecimal is listed first. Change the "Value Data" to:
(Megabytes Hexadecimal Decimal):
384Mb 18000000 402653184
Reboot

If all that fails, ye are SOL. Send more babies to Gabe Newell.
